hi planted a magnolia this year in the spring it is planted under a big tree about 8 yards away from the trunk but still over shadowed , will it survive ?

Providing there's enough soil for it to root sufficiently well (if the soil you dug over wasn't full of tree roots, that means) and it gets some sun, it should do okay, 24 feet away from the trunk of the tree. Keep an eye that it doesn't dry out too much though.
